Experience
Marcelo M. Bertoldi began his career as part of the legal department of a large business group in Paraná. After two years, he partnered with James Marins and, in 1995, they founded Marins Bertoldi with the goal of creating a law firm dedicated to serving medium and large companies.
For over ten years, Marcelo was a professor of business law at PUCPR, teaching both undergraduate and master’s courses. He is currently a speaker at courses offered by various business schools and business entities, including Fundação Don Cabral and the Brazilian Institute of Corporate Governance (IBGC), in the areas of corporate law and corporate governance. He is also a Certified Board Member by the IBGC.
Marcelo has participated in numerous M&A transactions, either as a lawyer or as a negotiator, representing the interests of either the buyer or the seller. He coordinates tasks related to evaluation, due diligence, drafting memorandums, contracts, agreements, and tax planning.
In the litigation area (state court and arbitration), Marcelo has extensive experience handling disputes involving business contracts and shareholder disagreements, particularly concerning the exclusion of shareholders and the calculation of equity, as well as defending the interests of minority shareholders in both limited liability companies and corporations.
In the field of Corporate Governance, Marcelo was one of the founders of the Paraná chapter of the Brazilian Institute of Corporate Governance (IBGC) and served as its coordinator for six years. He works on implementing best practices in corporate governance in privately held and family-owned companies.
Regarding business reorganization, Marcelo has been involved in various company recovery processes, representing the interests of creditors, the company in recovery, or even acting as a judicial administrator.
